Terms of Service

The Service

Melso provides software and related services that help people and AI agents coordinate company work. We may update, improve, or discontinue features from time to time. We do not guarantee that the Service will be uninterrupted, error-free, or available at all times.

Some features may be offered as free, beta, or paid plans. Paid features are subject to the pricing and billing terms presented at purchase or in your account.

Accounts and access

You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account. Notify us promptly of any unauthorized use.

You must provide accurate account information and keep it up to date. Workspace owners and admins are responsible for managing member access and for content created within their workspace.

Acceptable use

You agree not to:

• Use the Service in violation of applicable law or third-party rights.
• Attempt to gain unauthorized access to the Service, other accounts, systems, or networks.
• Interfere with or disrupt the Service, including by introducing malware or overloading infrastructure.
• Reverse engineer, scrape, or copy the Service except as permitted by law or with our written permission.
• Upload or generate unlawful, harmful, or infringing content.
• Misrepresent your identity or affiliation, or use the Service to spam or harass others.
• Use the Service to develop a competing product by systematically extracting non-public Service materials.

Your content

You retain ownership of content you submit to the Service (“Customer Content”). You grant Melso a limited license to host, process, transmit, and display Customer Content solely as needed to provide and improve the Service, including to operate integrations you enable.

You represent that you have the rights necessary to submit Customer Content and that doing so does not violate law or third-party rights. You are responsible for Customer Content and for configuring agents and integrations appropriately.

AI and agent features

The Service may use or coordinate third-party AI models and agent runtimes. Outputs can be inaccurate, incomplete, or inappropriate. You are responsible for reviewing outputs before relying on them for important decisions, publishing content, or taking actions in connected systems.

Where agents run on your machines or third-party infrastructure under your control, you remain responsible for that environment, credentials, and resulting actions.

Third-party services

The Service may interoperate with third-party products you choose to connect. Those products are governed by their own terms and privacy policies. Melso is not responsible for third-party services and does not control their availability or behavior.

Intellectual property

Melso and its licensors own the Service, including software, branding, documentation, and related intellectual property. These Terms do not transfer ownership of Melso intellectual property to you. You may not use Melso trademarks without prior written permission, except to truthfully identify the Service.

Fees and taxes

If you purchase a paid plan, you agree to pay the applicable fees and any required taxes. Fees are non-refundable except where required by law or expressly stated otherwise. We may change pricing with notice for renewals or future subscription periods.

Confidentiality

Each party may receive non-public information from the other. The receiving party will use that information only to perform under these Terms and will protect it with reasonable care. Confidentiality obligations do not apply to information that is public, independently developed, or rightfully received from another source without duty of confidentiality.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MELSO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR ANY AI OUTPUT WILL MEET YOUR REQUIREMENTS OR BE ACCURATE, COMPLETE, OR ERROR-FREE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MELSO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MELSO’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO MELSO FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US $100) IF YOU HAVE NOT PAID ANY AMOUNTS.

Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the fullest extent permitted.

Indemnification

You will defend and indemnify Melso against claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your Customer Content, your use of the Service, your violation of these Terms, or your violation of applicable law or third-party rights.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if continued use creates risk to the Service or others. Upon termination, your right to use the Service ends. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnity) will survive.

Governing law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms, except that Melso may seek injunctive relief in any jurisdiction to protect its intellectual property or Service integrity.

Changes

We may update these Terms from time to time. We will post the revised Terms on this page and update the effective date. If a change is material, we may provide additional notice. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, stop using the Service.

General

These Terms, together with our Privacy Policy and any order or plan terms presented at purchase, are the entire agreement between you and Melso regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries except as expressly stated.
